Product Warranty

‍(a) PLATTCO warrants that Product supplied to Buyer hereunder will conform to Buyer’s specifications and will be free from defects in workmanship for a period of [18] months from the date of shipment of the Product to Buyer or [12] months from the date of installation, under no circumstances shall this guarantee be interpreted to extend longer than [18] months from date of shipment. Buyer shall notify Seller within the allotted warranty period set forth above, in writing to warranty@Plattco.com, of any Product defect or malfunction, which notification shall describe the defect in sufficient detail to permit PLATTCO to isolate the defect. Upon notification from Buyer, Seller will provide Buyer with instructions on returning the Product under a warranty claim. Upon receipt of any Products returned by Buyer pursuant to this Section 16, Seller shall inspect Products in accordance with Seller and, if applicable, customer specifications specified in contract or Order. If PLATTCO determines that the defect is not due to nonconformity with specifications or is unable to isolate any defect or malfunction in the Product then Buyer shall be solely responsible for the isolation of the defect or malfunction and will seek instruction on whether PLATTCO should return the Product to Buyer, or dispose of it. (b) If any returned Product contains malfunctions due to nonconformity with the Specifications, then Buyer’s exclusive remedy and Seller’s sole liability under this warranty will be, at its sole option and expense, to correct or replace the nonconforming or defective Product or refund the Purchase Price to Buyer. This warranty does not apply to: any first articles, prototypes, pre-production units, test units of a Product, Product PLATTCO deems as “wear parts” [see attachment for details], any Products which have been repaired by Buyer or a third party, any third party components specified by Buyer, any Products which have been altered or modified in any way by Buyer or third party; or any Products which have been subject to misuse, abnormal use or neglect or to components received from Buyer. PLATTCO will not be held liable in the case of damage to a product that occurs during customer-contracted rework. (c) PLATTCO shall not be liable for damages, whether they be indirect, incidental, consequential, special, or punitive of any kind or nature, including loss of profits as a result of products or services supplied by Seller to Buyer that Buyer has incorrectly specified and or provided incomplete or incorrect operational, design, or any other form of information or specification to PLATTCO in contract or other type of official correspondence by Buyer. (d) This warranty shall be considered null and void if Product is used by Buyer in any manner, condition, or application that does not match the Product’s originating Order information, Specifications, or stated Operational and Environmental conditions on the Product application and usage provided to Seller by Buyer and agreed upon in writing between Buyer and Seller.

‍THE PRODUCT WARRANTY STATED ABOVE IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES AS TO QUALITY, FITNESS FOR PARTICULAR PURPOSE, MERCHANTABILITY OR OTHERWISE, WHETHER IMPLIED BY CUSTOM OR LAW. WITHOUT LIMITING THE FOREGOING DISCLAIMER, BUYER ACKNOWLEDGES AND AGREES THAT PLATTCO DOES NOT WARRANT ANY PARTS, COMPONENTS, OR OTHER MATERIALS PROVIDED TO PLATTCO BY BUYER AND USED IN THE MANUFACTURE OF THE PRODUCTS.
